1. Acceptance of Terms

By accessing and using SignSphere.net ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your use of SignSphere's e-signature platform, including all features, tools, and services offered through our website and applications. These Terms constitute a legally binding agreement between you and SignSphere, LLC.

We reserve the right to update these Terms at any time. When we do, we will post the updated Terms on this page and update the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Service Description

SignSphere provides electronic signature services that allow users to send, sign, and manage documents digitally. Our platform includes features such as:

  • Document upload, creation, and template management
  • Electronic signature collection and workflow management
  • Comprehensive audit trails and compliance reporting
  • Integration with third-party applications and cloud storage
  • Mobile and offline access capabilities
  • Custom branding and white-label solutions
  • API access for enterprise customers
  • Advanced authentication and identity verification

The Service is provided on a subscription basis with different tiers of functionality. Specific features available to you depend on your subscription plan and may change over time as we enhance our platform.

3. Account Registration and Security

To use certain features of the Service, you must register for an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. SignSphere cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

Security Note: We strongly recommend enabling two-factor authentication and using a strong, unique password for your SignSphere account.

4. User Responsibilities and Acceptable Use

As a user of SignSphere, you agree to:

  • Use the service only for lawful purposes and in accordance with these Terms
  • Respect the intellectual property rights of others
  • Not upload or transmit any malicious code, viruses, or harmful content
  • Not attempt to gain unauthorized access to our systems or other users' accounts
  • Not use the service to send spam, unsolicited communications, or fraudulent content
  • Comply with all applicable laws and regulations in your jurisdiction
  • Not reverse engineer, decompile, or attempt to extract source code
  • Not use automated tools to access the service without permission

Prohibited Activities

You may not use SignSphere to:

  • Facilitate illegal activities or violate any laws
  • Infringe on intellectual property rights
  • Transmit harmful, threatening, or harassing content
  • Impersonate others or provide false information
  • Distribute malware or engage in phishing
  • Interfere with the service's operation or security

5. Electronic Signatures and Legal Validity

SignSphere's electronic signature technology is designed to comply with applicable electronic signature laws, including the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA), and the European Union's eIDAS regulation.

By using our service, you acknowledge and agree that:

  • Electronic signatures created through SignSphere have the same legal effect as handwritten signatures
  • You have the authority to enter into agreements electronically
  • You consent to conducting transactions electronically
  • You can access and retain electronic records
  • You understand the electronic signature process and its implications

Important: It is your responsibility to ensure that electronic signatures are legally valid for your specific use case and jurisdiction. Consult with legal counsel if you have questions about the legal validity of electronic signatures for your documents.

6. Subscription Plans and Billing

SignSphere offers various subscription plans with different features and usage limits. By subscribing to a paid plan, you agree to pay the applicable fees.

Billing Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change our pricing with 30 days' notice
  • Failed payments may result in service suspension
  • You're responsible for all taxes associated with your subscription

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the end of your billing period.

7. Intellectual Property Rights

SignSphere and its licensors own all rights, title, and interest in the Service, including all intellectual property rights. This includes but is not limited to:

  • Software, algorithms, and source code
  • User interface designs and graphics
  • Trademarks, logos, and brand elements
  • Documentation and help materials
  • Data processing and analytics methodologies

You retain ownership of the content you upload to SignSphere, including documents and data. By using the Service, you grant us a limited license to process, store, and transmit your content as necessary to provide the Service.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We implement industry-standard security measures to protect your data and ensure compliance with applicable data protection regulations, including GDPR, CCPA, and other privacy laws.

By using SignSphere, you consent to the collection, use, and sharing of your information as described in our Privacy Policy. You also acknowledge that electronic communications and data storage may involve transmission across international borders.

9. Service Availability and Modifications

We strive to maintain high service availability, but we cannot guarantee uninterrupted access to the Service. We may experience downtime for maintenance, updates, or due to factors beyond our control.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service.

We will make reasonable efforts to notify users of significant changes to the Service, but we are not obligated to provide advance notice of all modifications.

10. Limitation of Liability and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNSPHERE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to SignSphere in the twelve (12) months preceding the claim.

Note: Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless SignSphere, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you submit, post, or transmit through the Service
  • Your breach of any representation or warranty made in these Terms

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Chicago, Illinois.

You waive any right to participate in a class action lawsuit or class-wide arbitration against SignSphere.
